个主体),甲方用自身的资产抵押担保的形式进行融资。第三条、权利和义务1、甲方的权利与义务(1)提供真实、合法、有效的文件给乙方,并积极配合乙方的工作,为乙方提供工作便利。(2)依据本次签订合同的规定,向乙方支付融资顾问费。2、乙方的责任和义务:(1)前期为甲方传递文件等相关资料;(2)引荐银行,安排借款主体,配合其与甲方签订本次融资相关协议或合同;第四条、服务费用的计算方法、支付时间和支付方式1、前期服务费(押金)。在本合同正式签署后3个工作日内,甲方向乙方支付人民币 %(以实际到账资金总额为准)融资资金到帐后,甲方如不按期向乙方支付融资顾问费,自逾期之日起(从融资2款到账的当天起算),甲方自愿每日按应付融资顾问费总额的百分之一(1%)无条件向乙方支付违约金。乙方亦可凭此合同书直接由乙方为甲方安排的借款主体代扣以上费用。2、乙方收款账户信息:户 名: 开户行: 帐 号: 双方在本项目融资工作过程中的全部活动以及双方提供的全部资料信息均属保密范围。2.除非法律法规、行政规章另有规定或乙方委托的审计中介机构确有需要外,乙方将对甲方提供的所有重要的非公开资料保密。而且(除非甲方书面允许予以更大范围披露)上述资料将只向为依照本合同提供而有必要知道资料的相关人员披露。3. 甲方同意,乙方向甲方所作的书面及口头报告,以及乙方根据本合同下的聘用而自选编制或委托他人编制的向甲方提供的所有书面材料一律仅供甲方保密使用,不得将其用之于本合同有关交易之外的目的,也不得在未经乙方书面同意的情况下向任何人士披露。4. 上述保密条款没有规定或规定不明之处,双方亦应本着谨慎、诚实的态度,采取必要的、合理的措施,维护双方的商业信誉和商业利益。5. 本合同保密条款不因本合同的终止而失效。甲、乙双方提供给其他方的资料,除非全部许可,否则不得向任何第三人披露。第六条、违约责任1、如果乙方提供了融资款而甲方未使用,(包括甲方或本合同项下抵押物的权利人拒绝配合办理抵押登记手续),乙方收取的前期费用无须退还,甲方再赔偿乙方人民币 万(¥
