7.2 Other L/C Terms and Conditions: 信用证条款 i) A A Tolerance of plus or minus 10 % on quantity and L/C amount allowed. 允许装船数量及货值金额增加或减少10%。 ii) Price adjustments as per this Contract to be included in full. 本合同的价格调整为一次性调整。 iii) Charter party B/L acceptable. 可接受租船提单。 iv) Third party documents acceptable. 可接受第三者单据。 v) Partial shipment not allowed. 不允许分装。 vi) Transshipment prohibited. 不允许转运。 vii) Time span between L/C issuing date and latest shipment date should be 45 calendar days. 开出有效信用证最后装船期为45天。 viiiL/C is available by negotiation with any bank. ) 信用证可以在任何银行议付。 ix) Beneficiary’s presentation of documents within 21days after B/L date. 允许受益方于提单日后21天内议付单据。 x) All banking charges inside the country of L/C issuing bank inclusive of, but not limited to necessary L/C amendment charges are for L/C applicant’s account. 7.3 For Final Payment: 最后议付
Buyer shall make final payment for the balance two percent (2%) value based on CIQ’S certificate. Seller shall provide the following documents to buyer:
受益方凭卸货港中国商检(CIQ/China)检验货物质量重量证明书,并下列单据,议付2%余款。 i) Signed seller’s final Commercial Invoice in 1 originals and four (4) copies, indicating Contract number and the name of the carrying vessel, value of goods shipped and the balance due after deduction of the 98% provisional payment amount. 一式四份信用证受益方商业发票,幷已扣除已经议付本信用证98%后之余额 ii) 1 Copy of Quality Certificate issued by CIQ at the discharging port. Fax copy/or photocopy acceptable. 卸货港中国商检(CIQ/China)检验货物质量证明书一式一份,可接受传真件或映印件。 iii) 1 Copy of Weight certificate by issued CIQ at the discharging port. Fax copy/or photocopy acceptable. 卸货港中国商检(CIQ/China)检验货物重量证明书一式一份,可接受传真件或映印件。 iv) If CIQ certificate(s) cannot be forwarded to Seller within 15 days after completion of discharge, then the Certificate of quality & weight issued by CCIC Indonesia/ or PT. Superintending Company of Indonesia at loading Port in one copy each can be submitted as substitute and shall be the basis of the final invoice. Fax copy / or photocopy acceptable. 如于卸货后15天内没有收到由买方交来卸货港中国商检(CIQ/China)检验货物质量,重量证明书,卖方可凭装货港印尼CCIC中国商检公司/印尼PT. Superintending Company of Indonesia.国际商检公司检验货物质量,重量证明书每式一份议付2%余款,可接受传真件或映印件。
CLAUSE 8 INSPECTION- QUALITY & QUANTITY DETERMINATION 检验质量与数量 8.1
Both Parties shall agree to delegate Indonesia PT. Superintending Company of Indonesia (PT. Sucofindo) or any designated Inspection Agency for the inspection at designated loading port and Chinese CIQ at the discharge port, to assess the quality and quantity of the cargo. The quality and weight inspection result carried by SGS or any Designated Inspection Agency at the loading port shall be the basis of the Seller’s provisional invoice, which should be faxed to Buyer for Customs Clearance. The quality and weight inspection result carried by CIQ at the discharge port shall be the basis of the Seller’s invoice, which should be presented to the bank with other documents. The inspection costs at loading port shall be for the Seller’s account; while at discharging port shall be the Buyer’s account. Each shipment of coal, the final settlement between parties is based on the inspection results by CIQ at the discharging port.
买卖双方同意指定以印度尼西亚PT. Superintending Company of Indonesia (PT. Sucofindo) 或任何指定的检验机构的检测结果为装运港检验机构, 以卸货港CIQ为卸货港检验机构,对质量数量进行检验. 装运港的检测报告作为卖方临时发票的依据,此发票应传真给买方,让其报关时使用. 卸货港CIQ检验结果为结算依据,供卖方交单时出具. 卖方负担装货港PT. Superintending Company of Indonesia (PT. Sucofindo) 或任何指定的检验机构的检测结果 检验费用;买方负担卸货港CIQ检验费用. CIQ检验单应与其他议付单据一起交银行,每船次的煤炭的检验结果以卸货港CIQ为最终双方结算依据。 The Buyer may at its own expense send representatives to check the Loading Operation and conduct their own Sampling. The sellers shall notify the buyer of the loading time in advance, so that the buyer has sufficient time to do their preparation.

Quantity and quality assessments, conducted by the PT. Superintending Company of Indonesia (PT. Sucofindo) or any Designated Inspection Agency, shall be in accordance with methods and procedures usually used in the steam coal practice.
被指定的检验机构在做质量和数量检验时,应根据煤炭常用的检验方法和程序,最新标准和程序进行检验。
According to the Certificates of Analysis and Weight stated in the Designated Inspection Agency, the final price will be calculated and pay to the Seller. If the shipped coal cargo value is more than the LC value, the buyer shall pay for the excess cargo via T/T; If the shipped cargo value is less than the LC value, the seller shall negotiate the payment directly.
按照合同价格与指定的检验机构所检验的质量与数量检测报告来计算最终应支付的金额。如卖方交付的货物超过信用证的金额, 买方应通过电汇至卖方账户补偿卖方;如卖方交付的货物少于信用证的金额, 按照实际数量、质量向议付行议付货款。

The First Delivery shall be delivered within 30-45 days after receipt of Payment Instruction. 交货试单数量应在收到并确认上述信用证起30-45天内交付。
72 hours after leaving the loading port, the Seller’s Shipping Representative must email or fax to the Buyer’s office the vessel’s sailing date, the name of the steamship company, tonnage, the age of the vessel, its flag, the Bill of Lading number, contract number, net quantity loaded, name of commodity, and estimated time of arrival (ETA). 货船离开装运港后的72小时内,卖方的船运代理必须以电邮/传真形式通知买方货船启航日期,指定货船名称,吨位,船龄,船旗,海运提单号,合约号,净装运数量,货物名称及预期到达卸货港日期(ETA) .
72 hours before the ship arrives at the discharge port, the Vessel Master must inform the Buyer and the discharge port of its Shipping Agent, boat name, tonnage, flag, the size of the boat, etc... This information must be sent again 48, 24, and 12 hours before arrival. 在船到达卸货港72小时前,船长应通知买方和卸货港的船务代理,船名,吨位,悬挂旗帜,吃水等;以及分别在船到港48, 24和12小时前通报准确的到达时间. Discharging Terms 装卸条件
FU-ZHOU PORT, CHINA will be the discharging port for Steam Coal under this Contract. Vessel with the dimension specified below can safely enter, stay safely afloat and depart, tide and weather permitting: 指定主要FU-ZHOU港口将成为在这一合同下的煤炉用煤的卸货港。 带有面积证明的船只在潮汐和天气条件许可下才可安全地进入,逗留和离港。
Discharging rate is 15,000 MT per weather working days 24 consecutive hours, Sunday & Holiday Including basis vessel has minimum 4 hatches / 4 hold.
卸载率15,000mt/每个工作日连续24小时,周日及节假日包括基础船舶至少有4 个舱口和4个船舱。 At the Discharging port, Vessel shall be consigned to a port agent nominated by the Buyer / Seller and appointed by Owner, subject to Owner’s approval for port disbursement.

Seller shall arrange for Vessel’s master to advice by agent to Buyer the estimated time of arrival at the Discharging port on departure from the loading port, 7 days, 5 days, 3 days, 2 days and 24 hours prior.
卖方应安排船舶的船长,向买方的代理人在对从装货港,7天,5天,3天,2天24小时前离开卸货港的预计到达时间.
Written Notice of Readiness to discharge shall be presented by the vessel after arrival at the designated anchorage during normal office hours between 7:00AM and 4:00PM, seven days per week, provided that Vessel is in free practice and is in all respects ready to discharge.

Turn time 24 hours from (N.O.R) tendered, unless discharging operation started earlier when the actual time used to count as laytime.

Vessel arriving within designated laydays shall be discharged in principal in accordance with the order of arrival at Discharging Port.

Time spent for customs/health/port authority formalities, pilot age from anchorage area to berth, mooring, or crossing river mouth, shall not to count as lay time.

Laytime for discharging shall commence 12 hours after written Notice of Readiness is tendered to Buyer’s office, whether the Vessel is actually berthed or not, or on commencement of discharging if sooner. If the twelve (12) hours turn time expires on a major Chinese Holiday, then laytime for discharging is to commence from 7:00AM on next working day, unless discharging is sooner commenced. Waiting time for berth shall be included in the laytime unless the waiting has resulted from any action or inaction by Buyer; it is agent, the owner or master of the Vessel, including granting of practice. Shifting time from anchorage to berth shall not count as laytime. The time required for the ballasting and for any delay caused by Vessel’s inability to discharge shall not count as laytime, even if on demurrage. Delays due to caused stipulated as Force Majeure in accordance with Clause 14 shall not count as laytime. Time allowed for discharging is to be calculated on the basis of the Bill of Lading quantity. Laytime shall cease count on completion of discharging.
无论船只实际停泊或不停泊,或者在装卸货开始的不久,装卸时间应该开始于给买方办公室的书面通知的12小时后。如果这12小时开始并期满于一个主要的中国假日,装卸时间是从下一个工作日的上午7时开始。除非卸货是很快开始的。等待泊位时间应包括在装卸时间内,除非等待已经从买方的任何行动或不行动中得出结果。他是代理人,船只的拥有者或者船长。包括实践的授予。即使在滞期内,停泊处泊位的排班不应该被算做装卸时间。因延误造成的不可抗力规定的按照第14条不应计为装卸时间。卸货时间是被以提单的数量为基础去计算的。装卸时间应该以卸货的完成时间为准到期。

Any costs and expenses incurred due to any delay at the Discharging Port, the demurrage will be under the Buyer’s responsibility. For the avoidance of doubt, the Mother Vessel shall be deemed to have arrived at the Discharging Port once it physically arrives (not berth) at the Discharging Port authority area.
于卸货港的耽搁而造成的任何费用及开支,滞期费是买方的责任。为避免分歧,一旦船体到达卸货(不是指泊位)所在的官方海域,即应被视为已经抵达卸货港。
Buyer shall pay to Seller Demurrage incurred (if any) and Seller shall pay to buyer the fee incurred that Dispatch (if any)at the Discharging Port in accordance with the terms and conditions of the Charter Party. 买方应按照租船契约的条款和条件向卖方支付在卸货港产生的滞期费(如果有的话)。卖方应保证向买方支付在卸货港产生的任何速遣费(如果有的话)。
Accounts for Demurrage and Dispatch shall be kept separate from all other accounts and shall be settled within 10 (ten) working days after completion of loading of relevant vessel and issued Bill of Lading. 滞期费和速遣费计算应独立于其他所有费用的计算,并且应在船只装货完成以后, 10个工作日内支付。
CLAUSE 11 INSURANCE保险
The Buyer bears the expense to procure a policy with a first class Marine Insurance Institute to cover ONE HUNDRED and TEN PERCENT (110%) of the value of cargo. The insurance policy will cover all risk or loss or damage to the said cargo, including war, hijacking, explosion, etc, from the time passed at the loading port.
